Terms of Service

1. Acceptance of Terms

By accessing or using PRD-AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

PRD-AI is an AI-powered platform for creating, refining, and managing Product Requirements Documents (PRDs). The Service includes the following features:

  • AI wizard creation for generating PRDs from prompts and iterative refinement
  • Inline AI suggestions for improving PRD content section by section
  • AI chat assistant for discussing and refining requirements within each PRD
  • User story and epic generation from PRD content with acceptance criteria
  • Export capabilities including Markdown and PDF formats
  • Third-party integrations with GitHub Projects and Trello for syncing stories to issues and cards
  • Workspace-based collaboration with team member invitations and role-based access
  • Version history tracking with snapshot comparisons
  • Public share links for read-only PRD access

3. Account Registration & Authentication

The Service uses OAuth-based authentication exclusively. You may sign in using your Google or GitHub account. By authenticating, you authorize PRD-AI to receive your name, email address, and avatar URL from your chosen OAuth provider.

You are responsible for maintaining the security of the account credentials used with your OAuth provider. You must not share your authentication session or allow others to access the Service through your account. You may maintain only one account per individual. You agree to keep your profile information accurate and up to date.

You are responsible for all activities that occur under your account. You must notify us immediately at legal@prd-ai.xyz if you suspect any unauthorized use of your account.

4. Workspaces & Collaboration

The Service is organized around workspaces. Users may create workspaces and invite team members to collaborate. Workspace owners have full administrative control, including the ability to manage members, configure integrations, and manage billing. Members have access to create and edit PRDs within their assigned workspaces.

Team invitations are sent via email and expire after a defined period. Workspace-level settings, including integrations and subscription plans, are managed by the workspace owner. Each workspace operates independently with its own content, members, and configuration.

5. Free & Paid Tiers

PRD-AI offers a Free tier and a Paid tier. The Free tier includes:

  • Up to 1 PRD per workspace
  • Up to 1 workspace
  • 100 MB storage for uploaded images and files
  • 30-day version history retention
  • AI-assisted creation and editing

The Paid tier is available at $15 per month per workspace and includes:

  • Unlimited PRDs per workspace
  • Full third-party integrations (GitHub Projects, Trello)
  • Team collaboration with up to 10 members per workspace
  • 5 GB storage for uploaded images and files
  • Unlimited version history retention
  • Priority support

6. Billing & Subscriptions

All payment processing is handled by Stripe. By subscribing to a Paid tier, you authorize Stripe to charge your selected payment method on a recurring monthly basis. Subscription fees are billed at the start of each billing cycle and are non-refundable except as required by applicable law.

You may cancel your subscription at any time through your workspace settings. Upon cancellation, you will retain access to Paid tier features until the end of your current billing period, after which your workspace will be downgraded to the Free tier.

If a payment fails, we will attempt to process the payment again over a 7-day grace period. If payment cannot be collected after this period, your workspace will be automatically downgraded to the Free tier. We reserve the right to change subscription pricing with at least 30 days' prior written notice. Price changes will take effect at the start of the next billing cycle following the notice period.

7. AI-Generated Content

The Service uses large language models (LLMs) accessed through OpenRouter to generate, refine, and suggest content for your PRDs. You may select from available AI models within the Service. AI-generated content is provided for advisory and assistive purposes only.

PRD-AI does not guarantee the accuracy, completeness, or suitability of any AI-generated content. AI models may produce incorrect, misleading, or nonsensical output ("hallucinations"). You are solely responsible for reviewing, verifying, and approving all AI-generated content before relying on it for any purpose. AI-generated content is clearly disclosed within the user interface.

PRD-AI shall not be held liable for any decisions made, actions taken, or outcomes resulting from reliance on AI-generated content.

8. User Content & Intellectual Property

You retain full ownership of all content you create, upload, or input into the Service, including PRDs, user stories, epics, acceptance criteria, and any other materials ("User Content").

By using the Service, you grant PRD-AI a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit your User Content solely as necessary to provide and operate the Service. This license terminates when you delete your content or account, subject to our data retention policies.

PRD-AI does not use your User Content to train, fine-tune, or improve AI models. You are solely responsible for ensuring that your User Content does not violate any applicable laws, infringe on third-party rights, or contain illegal material.

9. Third-Party Integrations

The Service offers integrations with third-party platforms, including GitHub Projects and Trello. When you enable an integration, you authorize PRD-AI to access the relevant third-party service via OAuth on your behalf. This access is used to synchronize your user stories and epics with issues, cards, and boards on the connected platform.

PRD-AI is not responsible for the availability, accuracy, or functionality of third-party services. Changes to third-party APIs or terms of service may affect integration functionality. You are responsible for complying with the terms of service of any third-party platform you connect to PRD-AI.

You may disconnect integrations at any time through your workspace settings. Disconnecting an integration will stop future syncing but will not remove data already synced to the third-party platform.

10. Data Sharing via Share Links

The Service allows you to generate public, read-only share links for your PRDs. Anyone with the link can view the shared PRD without requiring an account. You are solely responsible for the content you share and for managing who has access to your share links.

You may revoke a share link at any time, which will immediately prevent further access. PRD-AI collects limited analytics on share link usage, including view count, last viewed timestamp, viewer IP address, and user agent string.

11. Acceptable Use Policy

You agree not to use the Service to:

  • Engage in any illegal activity or violate any applicable laws or regulations
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Abuse, overload, or interfere with the Service's APIs or infrastructure
  • Use automated scripts, bots, or scrapers to access the Service without prior written authorization
  • Attempt to circumvent rate limits, authentication mechanisms, or access controls
  • Share your account credentials or authentication tokens with unauthorized parties
  • Upload malicious content, including viruses, malware, or files designed to exploit vulnerabilities
  • Infringe on the intellectual property rights or privacy rights of others
  • Use the Service to generate, store, or distribute harmful, abusive, or unlawful content

12. Rate Limits & Service Limits

To ensure fair usage and service stability, the following limits apply:

  • AI requests: 60 requests per hour per user
  • API requests: 1,000 requests per hour per user
  • File uploads: 20 uploads per hour per user
  • Image file size: maximum 5 MB per file
  • Document import size: maximum 10 MB per file (.md, .docx, .txt)
  • PRD section content: maximum 50,000 characters per section

PRD-AI reserves the right to adjust these limits at any time. Exceeding these limits may result in temporary throttling or suspension of access.

13. Availability & Service Levels

PRD-AI strives to maintain high availability but does not guarantee uninterrupted access to the Service. Planned maintenance windows will be communicated in advance where possible.

The Service is designed for graceful degradation: if AI processing is temporarily unavailable, manual editing functionality remains operational. Data is backed up daily with a 7-day backup retention period.

PRD-AI shall not be liable for any downtime, data loss, or service interruptions resulting from factors beyond our reasonable control, including but not limited to third-party service outages, network failures, or force majeure events.

14. Intellectual Property Rights

The PRD-AI platform, including its design, architecture, source code, user interface, documentation, logos, and trademarks, is the exclusive property of PRD-AI and is protected by intellectual property laws. Nothing in these Terms grants you any right to use PRD-AI's trademarks, logos, or branding without our prior written consent.

If you provide feedback, suggestions, or ideas regarding the Service, you grant PRD-AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

15. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRD-AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO PRD-AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL PRD-AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER PRD-AI WAS ADVISED OF THE POSSIBILITY THEREOF.

16. Indemnification

You agree to indemnify, defend, and hold harmless PRD-AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17. Termination

You may delete your account at any time through your account settings. PRD-AI reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law.

Upon account deletion, your data will be soft-deleted and retained for 30 days to allow for recovery. After the 30-day period, your data will be permanently purged from our systems, except where retention is required by law or for legitimate business purposes (such as fraud prevention or audit logs).

18. Modifications to Terms

PRD-AI reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice via the email address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you must stop using the Service and delete your account before the changes take effect.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

20. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and PRD-AI regarding your use of the Service, and supersede all prior agreements, understandings, or communications, whether written or oral.
